The Missouri Real Estate Commission (MREC) does not allow a real estate agent whose license is held by a broker to form a limited liability company (LLC) to protect himself or herself from liability. However, it will let an agent form a professional corporation or PC.

A Missouri PC also allows for the subchapter S tax election, meaning the income tax liability will pass through to the individual agent, similar to an LLC that is “tax transparent.” Without the S election, a professional corporation would be taxed at the corporate level and at the owner level.
